Questions clients ask

Can a foreign founder set up a company without coming to Baku?

Yes. The founder signs a power of attorney at home, the papers come with an apostille or consular legalisation, and we have them translated in Baku. In our work registration takes 10–15 working days from receiving the papers.

How is a shareholder agreement different from the charter?

The charter is filed with the registry and anyone can read it. A shareholder agreement stays between the shareholders, and that is where we spell out deadlocks, selling a share to an outsider and how a shareholder leaves.

How long does due diligence take?

Ten working days for a small company, 3–4 weeks for one with more than 50 contracts. It depends most on how fast the seller hands over the papers.
